Assetiverse Terms of Service

- Respect creators' work — follow the license terms for each asset you download.
- Don't abuse the platform — no scraping, hacking, fraud, or malicious activities.
- We can suspend accounts that violate these terms.
- Quebec law applies and disputes go to arbitration in Montreal.
- Use assets responsibly — some uses (like NFTs or AI training) are prohibited.
1. Introduction
1.1 Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Agence 10-4, a corporation incorporated under the laws of Quebec, Canada, operating the Assetiverse platform ("Assetiverse", "Platform", "we", "us", or "our").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
1.2 Additional Terms
Certain features of the Platform may be subject to additional terms and conditions:
- Creator Terms of Service — governs creators who sell assets on the Platform
- Commercial License — governs the use of paid assets
- Privacy Policy — governs how we collect and use your information
- Community Guidelines — governs acceptable conduct on the Platform
These additional terms are incorporated by reference into these Terms.
1.3 Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting on the Platform or sending you an email. Your continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.
2. Eligibility and Account Registration
2.1 Age Requirements
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is greater), to create an account, purchase assets, or sell content on the Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding contract. Assetiverse reserves the right to terminate any account found to be operated by a minor.
2.2 Account Creation
To access certain features of the Platform, including purchasing or downloading assets, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
2.3 Account Restrictions
You may not:
- Create more than one account per person
- Share your account credentials with others
- Transfer or sell your account to another person
- Use another person's account without permission
- Create an account if you have been previously banned from the Platform
2.4 Account Verification
We may require you to verify your identity or email address. Failure to complete verification may result in limited access to Platform features.
3. Platform Services
3.1 Description of Services
Assetiverse is a digital marketplace where creators can sell or distribute digital assets, including but not limited to:
- 3D models and assets
- Textures and materials
- Scripts and code
- Templates and scenes
- Audio files
- Documentation and tutorials
3.2 Availability
We strive to keep the Platform available at all times, but we do not guarantee uninterrupted access. The Platform may be unavailable due to:
- Scheduled maintenance
- Emergency maintenance
- Technical issues
- Events beyond our control
3.3 Platform Changes
We may modify, suspend, or discontinue any aspect of the Platform at any time, including features, pricing, or available assets. We will provide reasonable notice of material changes where possible.
4. Purchasing and Downloading Assets
4.1 Purchases
When you purchase an asset:
- You acquire a license to use the asset according to the applicable license terms
- You do not acquire ownership of the asset itself or its intellectual property
- The purchase is final and processed through our payment provider (Stripe)
- Prices are displayed in US Dollars (USD)
4.2 License Types
Assets on the Platform are available under different license types:
Open Source Licenses (Free):
- CC BY (Attribution)
- CC BY-NC (Non-Commercial)
- CC0 (Public Domain)
- MIT License
Commercial License (Paid):
- Standard License — for individual use
- Extended License — for team and multi-entity use
You must review and comply with the specific license terms for each asset you acquire. Full license details are available on each asset page and at https://assetiverse.com/legal/commercial-license.
4.3 License Permanence
Licenses you acquire are permanent, subject to your compliance with the license terms. This means:
- If an asset is removed from the Platform, you retain your license
- If your account is closed in good standing, you retain your licenses
- If a creator leaves the Platform, your existing licenses remain valid
4.4 Prohibited Uses
Regardless of license type, you may NOT:
- Redistribute raw asset files or make them available for download
- Resell, sublicense, or transfer assets to others
- Use assets in "asset flipping" (minimal modification and resale)
- Mint assets as NFTs or blockchain tokens
- Use assets to train AI/ML models without creator consent
- Use assets in a way that violates applicable law
- Remove or alter copyright notices or attribution requirements
4.5 Refunds
Digital purchases are generally non-refundable due to the nature of digital goods. Once an asset has been downloaded, it cannot be "returned," and refunds will generally not be issued. However, we may provide refunds in limited circumstances where the asset has not yet been downloaded:
- The asset is materially different from its description
- The asset file is corrupted or non-functional
- Technical issues preventing download
For accidental duplicate purchases, refunds may be considered only if the duplicate was not downloaded. Our support team verifies download history before processing any refund request.
Refund requests must be submitted within 14 days of purchase to support@assetiverse.com.
5. User Conduct
5.1 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You will:
- Respect the intellectual property rights of creators
- Follow the license terms for all assets you acquire
- Treat other users with respect in all communications
- Report any violations or security issues you discover
5.2 Prohibited Conduct
You agree NOT to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Upload or transmit viruses, malware, or malicious code
- Attempt to gain unauthorized access to the Platform or other accounts
- Use automated systems (bots, scrapers, crawlers) to access the Platform or collect data
- Use any Platform data, content, or assets for the purpose of training machine learning models, generative artificial intelligence systems, or similar technologies without a separate written data-licensing agreement from Assetiverse
- Circumvent any security measures or access controls
- Interfere with or disrupt the Platform or servers
- Engage in fraudulent activity or misrepresentation
- Harass, threaten, or abuse other users
- Post spam, advertisements, or promotional content
- Impersonate any person or entity
- Collect or harvest user information without consent
- Use the Platform for any illegal purpose
5.3 Content You Submit
When you submit content to the Platform (reviews, comments, support requests), you:
- Grant us a license to display and use that content on the Platform
- Represent that you have the right to submit such content
- Agree that the content does not violate these Terms
We may remove any content that violates these Terms or that we deem inappropriate.
6. Intellectual Property
6.1 Platform Ownership
The Platform, including its design, code, features, and branding, is owned by Agence 10-4 and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Platform without our permission.
6.2 Creator Content
Assets and content uploaded by creators remain the intellectual property of the respective creators. When you purchase or download an asset, you receive a license — not ownership — of that asset.
6.3 Trademarks
"Assetiverse" and associated logos are trademarks of Agence 10-4. You may not use our trademarks without prior written consent, except as permitted in our Brand Guidelines.
6.4 Third-Party Trademarks
PlayCanvas is a trademark of PlayCanvas Ltd. Assetiverse is an independent marketplace and is not affiliated with, sponsored by, or endorsed by PlayCanvas Ltd. or Snap Inc. All other trademarks, logos, and brand names mentioned on the Platform are the property of their respective owners and are used for identification purposes only.
6.5 DMCA and Copyright Claims
We respect intellectual property rights and respond to valid copyright infringement notices. If you believe content on the Platform infringes your copyright, please submit a notice to legal@assetiverse.com including:
- Your contact information
- Identification of the copyrighted work
- Identification of the infringing material on our Platform
- A statement of good faith belief that the use is unauthorized
- A statement under penalty of perjury that the information is accurate
- Your physical or electronic signature
7. Privacy and Data Protection
7.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7.2 Data Security
We implement reasonable security measures to protect your information. However, no method of transmission over the Internet is completely secure, and we cannot guarantee absolute security.
7.3 Communications
By creating an account, you consent to receive:
- Transactional emails (purchase confirmations, receipts)
- Service announcements and updates
- Security alerts
You may opt out of marketing communications at any time.
8. Disclaimers
8.1 Platform Provided "As Is"
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 No Guarantee of Assets
WE DO NOT WARRANT THAT:
- Assets will meet your specific requirements or expectations
- Assets will be error-free, compatible with your software, or suitable for your project
- The Platform will be uninterrupted, secure, or error-free
- Any defects will be corrected
8.3 Third-Party Content
Assets on the Platform are created by independent creators. We do not review, endorse, or guarantee the quality, accuracy, or legality of creator content. You acquire assets at your own risk.
8.4 Third-Party Services
The Platform may integrate with third-party services (payment processors, authentication providers). We are not responsible for the availability, accuracy, or practices of third-party services.
9. Limitation of Liability
9.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSETIVERSE AND AGENCE 10-4 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Loss of goodwill
- Cost of substitute services
- Any other intangible losses
ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY.
9.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF:
- The amounts you paid to us in the twelve (12) months preceding the claim, or
- One hundred Canadian dollars ($100 CAD)
9.3 Exceptions
These limitations do not apply to:
- Liability that cannot be excluded by law
- Your violation of our intellectual property rights
- Your intentional misconduct or gross negligence
10. Indemnification
You agree to indemnify, defend, and hold harmless Assetiverse, Agence 10-4, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit to the Platform
- Your violation of applicable law
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting support@assetiverse.com. Upon termination:
- Your access to the Platform will be revoked
- Licenses for assets you acquired in compliance with these Terms remain valid
- We may retain certain information as required by law
11.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms or any applicable law
- Engage in fraudulent or abusive conduct
- Pose a security risk to the Platform or other users
- Fail to pay amounts owed
We may also terminate your account for convenience with thirty (30) days' notice.
11.3 Effect of Termination
Upon termination, all licenses acquired before termination remain valid provided you continue to comply with these Terms, including all prohibited use restrictions (Section 4.4) and conduct requirements (Section 5). All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation:
- Intellectual property provisions (Section 6)
- Disclaimers (Section 8)
- Limitation of liability (Section 9)
- Indemnification (Section 10)
- Dispute resolution (Section 12)
- General provisions (Section 13)
Outstanding payment obligations remain due regardless of termination.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating formal proceedings, you agree to first contact Assetiverse at legal@assetiverse.com to attempt to resolve any dispute informally. The parties shall negotiate in good faith for a period of thirty (30) days.
12.2 Mediation
If informal resolution is unsuccessful, either party may initiate mediation administered by a mutually agreed-upon mediator in Montreal, Quebec. The costs of mediation shall be shared equally.
12.3 Binding Arbitration
If mediation is unsuccessful, any dispute shall be resolved by binding arbitration administered by the Canadian Arbitration Association in accordance with its rules. The arbitration shall:
- Take place in Montreal, Quebec
- Be conducted in English or French (at the Claimant's election)
- Result in a final and binding decision, and judgment on the award may be entered in any court of competent jurisdiction.
12.4 Exceptions
Notwithstanding the foregoing:
- Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its Intellectual Property Rights.
- Either party may elect to pursue a claim in the Small Claims Division of the Court of Quebec (or a similar court of competent jurisdiction) if the claim falls within the jurisdiction of such court.
12.5 Class Action Waiver
YOU AND ASSETIVERSE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13. General Provisions
13.1 Governing Law
These Terms shall be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
13.2 Language
These Terms are available in English and French. In the event of conflict between versions, the English version shall prevail. Les présentes Conditions sont disponibles en anglais et en français. En cas de conflit entre les versions, la version anglaise prévaudra.
13.3 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Assetiverse regarding use of the Platform.
13.4 Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.
13.5 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
13.6 Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
13.7 Force Majeure
Neither party shall be liable for delays or failures due to causes beyond reasonable control, including natural disasters, war, government actions, or internet failures.
13.8 Notices
Notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@assetiverse.com.
