Standard License:

For one person only (one seat per license).
Deliver finished work to clients (compiled/published), not source files.
Contractors need their own license.
Store on your personal devices/NAS — but not shared team drives.

Extended License:

For teams, agencies, and multi-entity use.
Share with employees, contractors, and subsidiaries.
Deliver source files to clients.
Use in shared team libraries.

Never allowed (both tiers):

Reselling or redistributing the raw asset files.
Using the asset as the main product (e.g., reselling as stock assets).
NFTs where the asset is the primary content.
AI/ML training without written consent.

Overview

This Assetiverse Commercial License ("License") governs the use of digital assets purchased from the Assetiverse platform under the "Assetiverse Commercial" license type. By purchasing an Asset, you ("Licensee", "you", or "your") agree to be bound by these terms.

This License is provided by the original creator of the Asset ("Licensor") through Agence 10-4, operating the Assetiverse platform ("Assetiverse"), which acts as the Licensor's agent for licensing purposes.

License Tiers

When purchasing an Asset, you must select one of the following license tiers. The tier you select determines the scope of your permitted use.

Standard License

The Standard License grants a single seat to one individual (whether purchasing personally or as an employee of a legal entity). This is a one-person license.

Single-Seat Restriction: Use of the Asset under a Standard License is limited to one (1) natural person. While a company may purchase a Standard License, it may only be assigned to and used by one specific employee. If multiple employees require access to the Asset files, an Extended License or multiple Standard Licenses must be purchased.

Permitted Uses:

Use the Asset in unlimited personal and commercial projects
Modify, adapt, and create derivative works from the Asset
Use the Asset in client work, provided you deliver only published, compiled, or minified output (not source files)
Use the Asset in products for sale (games, applications, merchandise) as part of a larger work
Store the Asset on your personal devices, NAS, or cloud storage for your own use and backup

Restrictions:

You may NOT share or transfer the Asset to contractors, freelancers, or other third parties (they must purchase their own license)
You may NOT deliver source project files containing the Asset to clients
You may NOT store the Asset in shared libraries where multiple people can access it (e.g., a team Dropbox, shared company server, or asset management system used by multiple employees)
You may NOT sublicense, resell, or redistribute the Asset as a standalone file
You may NOT include the Asset in any product where the Asset itself is the primary value (e.g., asset packs, template collections)

Clarification — Personal Storage vs. Shared Libraries: Storing the Asset on your own NAS, personal cloud drive, or across your own devices is permitted—this is single-user storage for backup and convenience. What is NOT permitted is placing the Asset in a location where multiple people (employees, team members, collaborators) can access or control it. If more than one person needs to use the Asset, each person requires their own license, or you need an Extended License.

Extended License

The Extended License grants all rights included in the Standard License, plus the following additional rights for teams and multi-entity use:

Additional Permitted Uses:

Share the Asset with subsidiaries, parent companies, and affiliated entities under common ownership
Share the Asset with contractors and freelancers working on your projects (see Contractor Terms below)
Deliver full source project files containing the Asset to clients
Store the Asset in shared team libraries, company servers, or asset management systems where multiple employees or collaborators can access it

Contractor Terms: Contractors and freelancers may use the Asset solely for the performance of work on your behalf. Contractors must delete all copies of the Asset upon completion of the project. The Extended License does not grant contractors a personal license to use the Asset for other clients or personal projects—they must purchase their own license for such use.

When You Need Extended:

The "More Than One" Rule: If more than one person (employee, owner, or contractor) will touch, edit, or access the raw Asset files, you must have an Extended License.

Your company has multiple employees who will use this Asset
You work with contractors or freelancers who need access to source files
You want to maintain a shared asset library for your team
You need to deliver editable source files to clients

Restrictions (same as Standard):

You may NOT sublicense, resell, or redistribute the Asset as a standalone file
You may NOT include the Asset in any product where the Asset itself is the primary value

Common Terms (All Tiers)

Grant of License

Subject to the terms of this License, the Licensor grants you a non-exclusive, worldwide, perpetual license to use the Asset in accordance with the tier you purchased.

Ownership

The Licensor retains all ownership and intellectual property rights in the Asset. This License grants you usage rights only; it does not transfer ownership.

Attribution

Attribution is not required but is appreciated. If you choose to provide attribution, please credit the original creator as indicated on the Asset's page on Assetiverse.

No Warranty

THE ASSET IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE ASSET WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

Limitation of Liability

IN NO EVENT SHALL THE LICENSOR OR ASSETIVERSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE ASSET, REGARDLESS OF THE THEORY OF LIABILITY.

Termination

This License is perpetual, meaning it has no expiration date and remains valid indefinitely—unless terminated for breach. The Licensor may terminate this License if you breach any of its terms. Upon termination, you must cease all use of the Asset and destroy all copies in your possession.

Governing Law

This License is governed by the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein.

Prohibited Uses (All Tiers)

Regardless of which tier you purchase, the following uses are strictly prohibited:

Redistribution — You may not redistribute, share, or make available the raw Asset files to any third party, except as expressly permitted by your license tier.
Resale — You may not sell, sublicense, or offer the Asset for download or purchase, whether for free or for a fee.
Competing Products — You may not use the Asset to create products that compete directly with the Asset itself (e.g., selling the Asset or derivatives as stock assets on other marketplaces).
NFT/Blockchain — You may not use the Asset as the primary or significant content of a non-fungible token (NFT) or similar blockchain-based product. "Significant content" means the Asset is identifiable as the primary value or could be extracted as a standalone item. The Asset may only be included in NFTs where it is integrated into a larger, original work such that it cannot be separated or identified as the sole value of the NFT.
AI/Machine Learning Training — You may not use the Asset (or any derivative work thereof) as training data for machine learning models, artificial intelligence systems, generative AI, or similar technologies without express written consent from the Licensor.
Illegal or Harmful Use — You may not use the Asset in connection with any unlawful, defamatory, obscene, or harmful content or purpose.
Trademark Registration — You may not register the Asset or any derivative as a trademark, service mark, or logo.
