Assetiverse Creator Terms of Service
Effective Date: January 1, 2026

- You keep ownership of everything you upload. We just need a license to display and sell it.
- We won't train AI on your work without your explicit written consent.
- You earn 80% of net revenue. We keep 20% as a platform fee.
- You choose the license for each asset: Open Source (free) or Commercial (paid with Standard/Extended tiers).
- Payouts are monthly, minimum $50 USD threshold, via Stripe Connect.
- Buyer licenses are permanent — even if you leave, buyers keep their licenses.
- Don't upload stolen content — you're responsible for ensuring you have rights to everything you upload.
- We can remove content that violates our terms or infringes IP rights.
- You indemnify us if your content causes legal problems.
- Disputes go to arbitration in Montreal, Quebec.
- Quebec law applies.
1. Introduction
1.1 Parties
These Creator Terms of Service ("Terms") constitute a legally binding agreement between you ("Creator", "you", or "your") and Agence 10-4, a corporation incorporated under the laws of Quebec, Canada, operating the Assetiverse platform ("Assetiverse", "Platform", "we", "us", or "our").
1.2 Acceptance
By submitting an application to become a Creator on the Assetiverse platform, or by uploading any content to the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not participate in the Creator Program.
1.3 Entire Agreement
These Terms, together with the Assetiverse Privacy Policy and Community Guidelines (incorporated herein by reference), constitute the entire agreement between you and Assetiverse regarding your participation in the Creator Program and supersede all prior agreements, understandings, and communications, whether written or oral.
2. Definitions
For the purposes of these Terms:
- "Assets" means any digital content uploaded by a Creator to the Platform, including but not limited to 3D models, textures, scripts, templates, and other digital materials.
- "Buyer" means any user who purchases or downloads Assets from the Platform.
- "Content" means Assets and any associated metadata, descriptions, images, or documentation.
- "Creator Program" means the program through which Creators upload and sell Assets on the Platform.
- "Gross Revenue" means the total amount paid by Buyers for your Assets before any deductions.
- "Net Revenue" means Gross Revenue minus: (a) payment processor fees, (b) refunds and chargebacks, (c) any applicable taxes collected by the Platform, and (d) Platform-initiated discounts or promotions (only if you have opted in to participate via your Creator dashboard settings; Creators who do not opt in will not have their Assets included in Platform-wide sales).
- "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, and other proprietary rights.
3. Eligibility
3.1 Requirements
To participate in the Creator Program, you must:
- Be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater;
- Have the legal capacity to enter into binding contracts;
- Provide accurate, current, and complete information in your application and maintain the accuracy of such information;
- Not have been previously removed from the Creator Program for violation of these Terms;
- Comply with all applicable laws and regulations in your jurisdiction.
3.2 Verification
Assetiverse reserves the right to verify your eligibility and may request additional documentation, including government-issued identification, proof of address, or tax documentation. Failure to provide requested documentation within fourteen (14) days may result in suspension or termination of your account.
4. Creator Obligations
4.1 Content Standards
As a Creator, you represent and warrant that all Content you upload:
- Is your original creation or you have obtained all necessary rights, licenses, and permissions to distribute it;
- Does not infringe upon any third-party Intellectual Property Rights, including patents, copyrights, trademarks, or trade secrets;
- Is free from malware, viruses, trojan horses, or any other malicious code;
- Does not contain any content that is unlawful, defamatory, obscene, harassing, or otherwise objectionable;
- Complies with all applicable export control laws and regulations;
- Is accurately described in all associated metadata and documentation.
4.2 Tax Compliance
You are solely responsible for:
- Determining and fulfilling all tax obligations arising from your participation in the Creator Program, including income taxes, sales taxes, VAT, GST, and any other applicable taxes;
- Providing accurate tax information as required by applicable law, including completing any required tax forms (such as CRA forms for Canadian creators or W-8BEN for non-Canadian creators);
- Maintaining records of all transactions for the period required by applicable tax laws.
Assetiverse may be required to report payments to tax authorities and may withhold taxes as required by law. For Canadian tax reporting purposes, amounts will be converted to CAD using the Bank of Canada daily exchange rate on the date of the transaction.
4.3 Platform Rules
You agree to:
- Follow all Assetiverse Community Guidelines and policies, as updated from time to time;
- Not engage in any fraudulent, deceptive, or misleading practices;
- Not manipulate reviews, ratings, download counts, or any other Platform metrics;
- Respond to Buyer support inquiries within a reasonable timeframe (not to exceed seven (7) business days);
- Not use the Platform to distribute competing marketplace services or to solicit Buyers to transact outside the Platform.
5. License Grants
5.1 License to Assetiverse
You hereby grant to Assetiverse a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
- Reproduce, display, distribute, and transmit your Content on the Platform;
- Create derivative works of your Content solely for the purposes of creating thumbnails, previews, promotional materials, and format conversions necessary for Platform functionality;
- Sublicense the rights granted herein to Buyers in accordance with the applicable license terms selected by you for each Asset;
- Use your name, likeness, and trademarks in connection with marketing and promoting your Content and the Platform.
This license continues for so long as your Content remains on the Platform and, with respect to Content purchased by Buyers prior to removal, in perpetuity to the extent necessary to fulfill existing Buyer licenses.
AI/ML Training Restriction: Assetiverse will not use Creator Content for the purpose of training machine learning models, generative artificial intelligence systems, or similar technologies without the Creator's explicit written consent. This restriction applies to Assetiverse, its affiliates, and any third-party service providers.
5.2 License Types
When uploading an Asset, you must select one of the following license types:
Open Source Licenses (Free Assets):
- CC BY (Attribution) — Governed by Creative Commons Attribution 4.0 International License
- CC BY-NC (Non-Commercial) — Governed by Creative Commons Attribution-NonCommercial 4.0 International License
- CC0 (Public Domain) — Governed by CC0 1.0 Universal Public Domain Dedication
- MIT License — Governed by the MIT License terms
Assets designated with an Open Source license are offered free of charge. The applicable license terms are those published by the respective license organizations (Creative Commons, Open Source Initiative) and are incorporated herein by reference.
Assetiverse Commercial License (Paid Assets): Assets designated with the Assetiverse Commercial license are sold at prices you set. Buyers select from the following tiers at checkout:
- Standard License — For single individuals or entities; permits unlimited projects, commercial use, modifications, and client work (published/minified output only); prohibits source project delivery to clients, sharing with contractors, and shared team libraries.
- Extended License — For teams and multi-entity use (multiple employees, contractors, subsidiaries); includes all Standard License rights plus full source project delivery to clients, sharing with contractors, and shared team libraries.
Both tiers prohibit redistribution of raw asset files, reselling, sublicensing, or standalone distribution. Assets may only be distributed as part of a finished product. Full terms are available at https://assetiverse.com/legal/commercial-license.
5.3 License to Buyers
When a Buyer acquires your Asset (by purchase or free download), you grant to that Buyer a license in accordance with the license type and tier applicable to that Asset. You acknowledge that:
- Buyer licenses survive termination of your participation in the Creator Program;
- You cannot revoke licenses previously granted to Buyers;
- Assetiverse acts as your agent in granting these licenses on your behalf;
- You are responsible for ensuring your selected license type is appropriate for your Content.
5.4 Ownership
Except for the licenses granted herein, you retain all right, title, and interest in and to your Content, including all Intellectual Property Rights therein. Assetiverse does not claim ownership of your Content.
5.5 Platform Intellectual Property
Assetiverse and its licensors retain all right, title, and interest in and to the Platform, including all software, designs, trademarks, service marks, and other Intellectual Property Rights. You may not use Assetiverse trademarks or branding without prior written consent, except as expressly permitted in our Brand Guidelines.
6. Revenue and Payments
6.1 Revenue Share
- Creators receive eighty percent (80%) of Net Revenue from Asset sales.
- Assetiverse retains twenty percent (20%) as a platform fee.
6.2 Payment Terms
- Payments are processed on a monthly basis, within thirty (30) days following the end of each calendar month.
- Minimum payout threshold: Fifty US Dollars ($50 USD). Balances below this threshold will be carried forward to subsequent months.
- Payments are made via Stripe Connect or other payment methods made available by Assetiverse.
- You are responsible for providing accurate payment information.
6.3 Payment Processing Fees
Payments are processed through Stripe Connect. You acknowledge that Stripe may charge account maintenance fees, payout fees, and other service fees (such as monthly active account fees in months when payouts are processed). These fees, along with any currency conversion costs or third-party banking fees charged by your financial institution, are your responsibility and will be deducted from your payout at the time of disbursement. For current Stripe fee schedules, refer to Stripe's published pricing.
6.4 Refunds and Chargebacks
- If a Buyer receives a refund for an Asset purchase, the corresponding Creator revenue share will be deducted from your balance or future earnings.
- In the case of chargebacks, Assetiverse reserves the right to deduct the full chargeback amount plus any associated fees from your balance.
- Assetiverse will make reasonable efforts to contest fraudulent chargebacks but is not obligated to do so.
6.5 Disputed Payments
If you dispute any payment or deduction, you must notify Assetiverse in writing within sixty (60) days of the transaction. Failure to dispute within this period constitutes acceptance of the payment as accurate.
6.6 Currency
All amounts in these Terms are in US Dollars (USD). All transactions, pricing, and payments on the Platform are conducted exclusively in USD.
7. Content Removal
7.1 Voluntary Removal
You may remove your Content from the Platform at any time through your Creator dashboard. Upon removal:
- Your Content will no longer be available for new purchases;
- Existing Buyer licenses for that Content remain valid and enforceable;
- You remain responsible for any support obligations related to previously sold Assets.
7.2 Removal by Assetiverse
Assetiverse may remove Content that:
- Violates these Terms or applicable law;
- Is the subject of a valid intellectual property complaint;
- Poses security risks to Buyers or the Platform;
- Is otherwise deemed inappropriate at Assetiverse's reasonable discretion.
We will make reasonable efforts to notify you before or promptly after removal, except where prohibited by law or where immediate removal is necessary to protect the Platform or its users.
8. Term and Termination
8.1 Term
These Terms commence upon your acceptance and continue until terminated by either party.
8.2 Voluntary Termination by Creator
You may terminate your participation in the Creator Program at any time by:
- Removing all your Content from the Platform; and
- Submitting a termination request to creators@assetiverse.com.
8.3 Termination by Assetiverse
Assetiverse may terminate or suspend your participation immediately upon notice if you:
- Breach any provision of these Terms;
- Engage in fraudulent or illegal activity;
- Become the subject of repeated intellectual property complaints;
- Fail to respond to verification requests or support inquiries.
Assetiverse may also terminate your participation for convenience with thirty (30) days' prior written notice.
8.4 Effect of Termination
Upon termination:
- Your Content will be removed from the Platform (except as necessary to fulfill existing Buyer licenses);
- Outstanding payments above the minimum threshold will be processed within sixty (60) days;
- Balances below the minimum payout threshold will be forfeited after twelve (12) months if you do not provide valid payment information or request payout via alternative means;
- Licenses previously granted to Buyers remain valid and enforceable;
- Sections 5 (to the extent necessary for existing Buyer licenses), 7, 9, 10, 11, 12, 13, and 14 survive termination.
9. Representations and Warranties
9.1 Your Representations
You represent and warrant that:
- You have the legal right and authority to enter into these Terms;
- All information you provide to Assetiverse is accurate and complete;
- Your Content does not and will not infringe any third-party rights;
- You will comply with all applicable laws in connection with your use of the Platform.
9.2 Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ASSETIVERSE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Indemnification
You agree to indemnify, defend, and hold harmless Assetiverse, Agence 10-4, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your Content, including any claims that your Content infringes third-party Intellectual Property Rights;
- Your breach of these Terms;
- Your violation of any applicable law or regulation;
- Any dispute between you and a Buyer.
11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASSETIVERSE OR AGENCE 10-4 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR PARTICIPATION IN THE CREATOR PROGRAM, REGARDLESS OF THE THEORY OF LIABILITY.
11.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASSETIVERSE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID TO YOU BY ASSETIVERSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11.3 Exceptions
The limitations in this Section 11 do not apply to: (a) your indemnification obligations; (b) your breach of Section 5 (License Grants); or (c) matters that cannot be limited under applicable law.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating formal proceedings, you agree to first contact Assetiverse at legal@assetiverse.com to attempt to resolve any dispute informally. The parties shall negotiate in good faith for a period of thirty (30) days.
12.2 Mediation
If informal resolution is unsuccessful, either party may initiate mediation administered by a mutually agreed-upon mediator in Montreal, Quebec. The costs of mediation shall be shared equally.
12.3 Binding Arbitration
If mediation is unsuccessful, any dispute shall be resolved by binding arbitration administered by the Canadian Arbitration Association in accordance with its rules. The arbitration shall:
- Take place in Montreal, Quebec
- Be conducted in English or French (at the Claimant's election)
- Result in a final and binding decision, and judgment on the award may be entered in any court of competent jurisdiction.
12.4 Exceptions
Notwithstanding the foregoing:
- Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its Intellectual Property Rights.
- Either party may elect to pursue a claim in the Small Claims Division of the Court of Quebec (or a similar court of competent jurisdiction) if the claim falls within the jurisdiction of such court.
12.5 Class Action Waiver
YOU AND ASSETIVERSE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13. General Provisions
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
13.2 Language
These Terms are available in English and French. In the event of any conflict or inconsistency between the English and French versions, the English version shall prevail. Les présentes Conditions sont disponibles en anglais et en français. En cas de conflit ou d'incohérence entre les versions anglaise et française, la version anglaise prévaudra.
13.3 Amendments
Assetiverse may modify these Terms at any time. We will provide you with at least thirty (30) days' prior notice of material changes by email or through the Platform. Your continued participation in the Creator Program after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must terminate your participation before the changes take effect.
13.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without Assetiverse's prior written consent. Assetiverse may assign these Terms without restriction. These Terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.
13.5 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
13.6 Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future.
13.7 Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or pandemics. Payment obligations are not excused by force majeure, but payment deadlines may be extended for the duration of the force majeure event.
13.8 Notices
All notices under these Terms shall be in writing and sent to:

Notices are deemed received upon delivery for email (if no bounce-back is received within 24 hours).
13.9 Independent Contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Assetiverse.
13.10 Headings
Section headings are for convenience only and shall not affect the interpretation of these Terms.
14. Security and Data Protection
14.1 Platform Security
Assetiverse implements commercially reasonable administrative, technical, and physical security measures designed to protect the Platform and Creator Content from unauthorized access, use, alteration, or destruction. However, no method of electronic transmission or storage is completely secure, and Assetiverse cannot guarantee absolute security.
14.2 Security Incidents
In the event of a security incident affecting your Content or personal information, Assetiverse will:
- Notify affected Creators within seventy-two (72) hours of becoming aware of the incident, or as otherwise required by applicable law;
- Provide information about the nature of the incident and the types of data potentially affected;
- Take reasonable steps to mitigate the impact of the incident and prevent future occurrences.
14.3 Limitation of Liability for Security Incidents
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASSETIVERSE SHALL NOT BE LIABLE FOR ANY UNAUTHORIZED ACCESS TO, ALTERATION OF, OR THEFT OR DESTRUCTION OF YOUR CONTENT OR DATA RESULTING FROM:
- Security breaches or incidents occurring despite Assetiverse's commercially reasonable security measures;
- Cyberattacks, hacking, or other malicious third-party activities;
- Vulnerabilities in third-party software, services, or infrastructure;
- Events beyond Assetiverse's reasonable control.
This limitation does not apply to security incidents resulting from Assetiverse's gross negligence or willful misconduct.
14.4 Creator Security Responsibilities
You are responsible for:
- Maintaining the confidentiality and security of your account credentials;
- Using strong, unique passwords and enabling two-factor authentication when available;
- Promptly notifying Assetiverse of any suspected unauthorized access to your account;
- Maintaining your own backup copies of all Content you upload to the Platform.
Assetiverse shall not be liable for any loss or damage arising from your failure to comply with these security responsibilities.
14.5 Data Protection
Assetiverse processes Creator personal information in accordance with our Privacy Policy and applicable data protection laws, including Quebec's Act Respecting the Protection of Personal Information in the Private Sector (Law 25) and the Personal Information Protection and Electronic Documents Act (PIPEDA). By participating in the Creator Program, you consent to such processing as described in our Privacy Policy.
14.6 Data Retention
Upon termination of your participation in the Creator Program, Assetiverse may retain certain data as required by law, for legitimate business purposes (such as resolving disputes or enforcing our agreements), or to fulfill ongoing obligations to Buyers. Transaction records and financial data may be retained for the period required by applicable tax and accounting laws.
